Register a Sdn Bhd in Kuala Lumpur
Who this is for
A Sdn. Bhd. (Sendirian Berhad) is a private limited company, and the usual choice for Malaysian-owned businesses and local entrepreneurs. It is a separate legal entity from its owners. It can enter into contracts, own assets and run a business in its own name, and its shareholders’ liability is limited to the amount of shares they hold.
If the company will not be controlled by Malaysians residing in Malaysia, see our page on foreign company registration.
What ASI handles
We guide you through the incorporation process. A Sdn. Bhd. must also appoint a qualified company secretary within the period set by the Companies Act 2016, and the secretary then assists with ongoing statutory and corporate compliance.
A company secretary’s duties include keeping the company, director and shareholder information up to date, advising on compliance with laws such as the Companies Act 2016, keeping the minutes and written resolutions of board meetings, and providing certified true copies for things like opening a bank account.
Incorporation is only the start. Depending on your business, you may then need a bank account, accounting, tax registration, business licences and payroll. We also offer bookkeeping and accounting, tax and payroll services.
What you need to prepare
- Identification details of the proposed directors and shareholders. At least one director must be aged 18 or above and ordinarily reside in Malaysia.
- Up to three proposed company names. The final name is subject to SSM approval, and Sdn. Bhd. is added to it automatically.
- The nature of your business and your contact details.
- A registered office address in Malaysia. A business address is optional at this stage.
- Your paid-up capital. It can start from RM1, but the amount that suits you depends on your business, your bank and any licences you need.
- Whether you want a corporate bank account, and which bank you prefer.
The Company Incorporation page has a short form for these details. You can send it to us on WhatsApp or download it as a PDF.
How long it takes
We normally advise clients to allow approximately 7 working days for the incorporation process. This depends on company name approval and on you completing all the required information and documents.
